4. Service Agreement

4.1 Project Scope

All projects will be governed by a separate service agreement that outlines the specific scope, deliverables, timeline, and payment terms. This agreement will be provided before commencement of any paid services.

4.2 Changes to Scope

Any changes to the agreed project scope must be documented in writing and may result in adjusted timelines and costs.

5. Payment Terms

5.1 Consultation

Initial consultations are provided free of charge for up to one hour to assess project requirements.

5.2 Project Payments

Payment terms will be specified in the individual project agreement. Generally:

  • Fixed-price projects may require milestone-based payments
  • Hourly consulting is typically billed monthly
  • Payment is due within 30 days of invoice date
  • Late payments may incur additional charges

6. Intellectual Property

6.1 Client IP

All intellectual property provided by the client remains the client's property. We agree to maintain confidentiality of all client information and code.

6.2 Work Product

Unless otherwise specified in the project agreement, all custom work product created specifically for the client becomes the client's intellectual property upon full payment.

6.3 Our IP

We retain ownership of our methodologies, tools, and general knowledge. Pre-existing intellectual property remains our property.

7. Confidentiality

We commit to maintaining strict confidentiality regarding all client information, including but not limited to:

  • Source code and technical specifications
  • Business information and strategies
  • Project details and requirements
  • Any proprietary information shared during the engagement

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional competence and in accordance with industry standards.

8.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific services that gave rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.

10. Termination

Either party may terminate a service agreement with 30 days written notice. The client remains responsible for payment of all services rendered up to the termination date.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
